Welcome to Get Local Social (“Company”), a DBA of Fractional CMO Consultancy. Please read these Terms and Conditions carefully before using our services. By engaging our services, you agree to these Terms and Conditions in full. If you disagree with any part of these terms, you must not use our services.

2. Services Provided Get Local Social specializes in social media management, content creation, paid advertising campaigns, and related consultancy services (collectively referred to as "Services"). Specific deliverables will be outlined in individual service agreements with clients.

3. Eligibility You must be at least 18 years old to use our services. By engaging with us, you confirm that you have the legal capacity and authority to enter into a binding agreement with Get Local Social.

4. Client Responsibilities Clients agree to:

  • Provide accurate and complete information necessary for campaign creation and execution.

  • Approve content, ad creatives, and strategies within the agreed timelines.

  • Maintain compliance with all applicable laws, including but not limited to data privacy regulations.

  • Fulfill payment obligations as outlined in individual agreements.

5. Payment Terms

  • All payments are due as outlined in the signed service agreement.

  • Late payments may incur a late fee of 1.5% of the outstanding amount per month.

  • If a payment is 30 days overdue, Get Local Social reserves the right to pause or terminate services.

6. Intellectual Property

  • Content created by Get Local Social for your campaigns remains our intellectual property until full payment is received.

  • Once payment is complete, ownership rights for deliverables are transferred to the client. However, Get Local Social retains the right to showcase the work in its portfolio unless otherwise agreed in writing.

7. Compliance with Advertising Policies Get Local Social adheres to platform-specific advertising policies (e.g., Facebook, Google, Instagram). Clients are responsible for ensuring their products/services comply with all relevant advertising and regulatory standards. We reserve the right to refuse to promote content that violates platform or legal guidelines.

8. Confidentiality

  • Both parties agree to keep confidential information shared during the engagement secure and not disclose it to third parties without prior written consent.

  • Confidentiality obligations survive termination of the agreement.

9. Limitation of Liability

  • Get Local Social is not liable for:

    • Direct, indirect, incidental, or consequential damages arising from the use of our services.

    • Platform outages, policy changes, or account suspensions beyond our control.

  • Total liability is limited to the fees paid by the client for the specific service in dispute.

10. Indemnification Clients agree to indemnify and hold Get Local Social harmless from any claims, damages, losses, or expenses arising from:

  • Client-provided materials that infringe third-party rights.

  • Breach of any laws or regulations by the client.

11. Termination

  • Either party may terminate the agreement with 30 days written notice.

  • Get Local Social reserves the right to terminate immediately if the client breaches these Terms and Conditions or fails to meet payment obligations.

  • Upon termination, all outstanding fees must be paid, and Get Local Social will provide any deliverables completed up to the termination date.

12. Refund Policy

  • Due to the nature of our services, all fees are non-refundable unless explicitly stated otherwise in the service agreement.

13. Force Majeure Get Local Social is not liable for delays or failure to perform due to causes beyond our reasonable control, including natural disasters, government actions, technical failures, or other unforeseen events.

14. Dispute Resolution

  • Governing Law: These terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

  • Disputes: Any disputes will be resolved through mediation or binding arbitration in Austin, Texas.

15. Changes to Terms We reserve the right to update or modify these Terms and Conditions at any time. Clients will be notified of significant changes via email or other means. Continued use of our services after such changes constitutes acceptance of the updated terms.
